Terms of Service
These terms govern your access to and use of agenticu.org, the Spine Pillar Diagnostic, and every Agentic-U paid tier.
1. Acceptance & eligibility
These Terms of Service ("Terms") form a binding agreement between you and Hunter & Thomas, Inc., a Delaware corporation operating the Agentic-U institution ("Agentic-U", "we", "us"). By accessing or using agenticu.org, quiz.agenticu.org, the Spine Pillar Diagnostic, or any paid Agentic-U tier (collectively the "Services"), you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
You must be at least 18 years old and legally able to enter contracts. If you accept on behalf of an entity, you represent that you are authorized to bind that entity, and "you" includes that entity.
2. The Services
- Diagnostic — the Spine Pillar Diagnostic is a self-assessment tool surfacing a directional reading of operator practice. It is informational; it is not legal, medical, financial, or professional advice.
- Articles, manifesto, curriculum pages — published statements of position. Provided as-is.
- Founders AI Lab — the inaugural cohort offered as a paid program; see Section 4.
- Dispatch — a recurring email program; see Section 4.
- Council / Mastermind / Clarity — one-to-one and small-group sessions delivered via Cal.com.
- Receipts & certificates of work — machine-readable artifacts produced inside the curriculum and signed against the DAA standard published by Governable AI. See Section 5.
3. Account & conduct
You are responsible for maintaining the confidentiality of any account credentials and for all activity under your account. You agree not to: (a) misrepresent your identity; (b) reverse-engineer, scrape, or attempt to bypass the Services' security measures; (c) use the Services to harass, defame, infringe, or violate any law; (d) interfere with other members' use; (e) resell, sublicense, or commercially redistribute the Services or any content delivered through them without our prior written consent.
4. Paid tiers, pricing, and renewal
Current paid tiers and prices are stated on the corresponding product pages. Unless otherwise specified at checkout:
- Founders AI Lab — \$10,000 annual tuition. Paid upfront in full. 12-month membership term commencing on cohort start date. A founding cohort discount may be offered at our discretion only via personalized invitation and is reflected only on that invitation page.
- Mastermind — \$36,000 annual tuition. Standing-order membership; annual renewal unless cancelled in writing at least 30 days before the renewal date.
- Clarity — \$497 one-time. Single live session.
- Dispatch — \$97/month. Monthly subscription, billed monthly; cancel anytime, effective at the end of the current billing period.
Payments are processed by Stripe, Inc. Card data is collected by Stripe and never stored on our servers. Applicable sales, use, VAT, GST, or similar taxes are your responsibility and will be added at checkout where required by law. Prices are in US Dollars unless otherwise stated.
5. Receipts, certificates of work, and accreditation
Inside the curriculum, you may complete outcomes that produce receipts and certificates of work attesting to what you did. These artifacts are signed by Agentic-U against the publicly published Delegated Agency Assurance (DAA) standard maintained by Governable AI. Key terms:
- The receipt attests to the work, not to a person's character or future performance.
- We do not publish your name, email, or any direct identifier on the public receipts wall without your explicit, prior, written consent.
- You may revoke publication consent at any time by emailing legal@agenticu.org; we remove the receipt from public surfaces within seven days. The cryptographic record of the receipt is preserved for accreditation integrity, decoupled from your identity upon revocation.
- Agentic-U is the issuer; Governable AI is the standards body; Hunter & Thomas, Inc. is the parent. These are three distinct roles by design.
6. Refunds & cancellations
- Dispatch: cancel anytime; no refund of the current billing period; access ends at the period close.
- Clarity: fully refundable within 7 days of purchase if the session has not been delivered; non-refundable once the session occurs or is missed without 24 hours' notice.
- Founders AI Lab: refundable in full within 14 days of the cohort start date, less any sessions delivered. After day 14, non-refundable.
- Mastermind: refundable in full within 14 days of membership commencement, less any council seats consumed; after day 14 non-refundable for the current annual term.
- Statutory rights: consumers in the EEA, UK, and other jurisdictions with statutory cooling-off rights retain those rights notwithstanding the above. Email legal@agenticu.org.
7. Intellectual property
Agentic-U content, curricula, diagnostic items, brand marks, software, and other materials are owned by Hunter & Thomas, Inc. or its licensors and are protected by copyright, trademark, and other laws. Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Services for your own internal evaluation and operator practice. You retain ownership of anything you create using your own work product; you grant us a non-exclusive license to use anonymized, aggregated, or explicitly-consented receipts for accreditation, marketing, and research purposes as described in our Privacy Policy.
8. User submissions
When you email or DM us, submit a voice memo, or otherwise send us content, you grant us a worldwide, royalty-free, non-exclusive license to use that content solely to respond to your inquiry, deliver the Services, and improve the Services in aggregate non-identifying ways. You represent that you have the right to share what you send us and that it does not infringe any third party's rights.
9. Third-party services
The Services integrate with third-party providers including Stripe (payments) and Cal.com (scheduling). Your use of those services is also governed by their own terms and privacy policies. We are not responsible for third-party services beyond our reasonable diligence in selecting them.
10. Disclaimers
EXCEPT WHERE PROHIBITED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES; THOSE EXCLUSIONS APPLY ONLY TO THE EXTENT PERMITTED BY LAW.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL HUNTER & THOMAS, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICES. OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY OR (B) ONE HUNDRED US DOLLARS (\$100). SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES; THIS LIMITATION APPLIES ONLY TO THE EXTENT PERMITTED BY LAW. NOTHING IN THESE TERMS LIMITS LIABILITY FOR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED BY LAW.
12. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Hunter & Thomas, Inc. and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of (a) your use of the Services in violation of these Terms; (b) your violation of any third-party right; or (c) any content you submit or share through the Services.
13. Governing law & venue
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. Subject to Section 14, any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Delaware, and you and we consent to the personal jurisdiction of those courts. Nothing in this section limits any non-waivable consumer rights you may have under the law of your jurisdiction.
14. Dispute resolution
Before filing any claim, you agree to first contact us at legal@agenticu.org and to attempt in good faith to resolve the dispute informally for at least 30 days. Either party may seek injunctive or equitable relief in court without first observing this informal process. No class actions: any dispute must be brought in your individual capacity; class actions and class arbitrations are waived to the extent permitted by law.
15. California-specific notices
Under California Civil Code § 1789.3, California residents may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by contacting them in writing at 1625 North Market Boulevard, Suite N 112, Sacramento, CA 95834, or by telephone at (916) 445-1254 or (800) 952-5210. California residents' privacy rights are described in our Privacy Policy.
16. Export & sanctions
You represent that you are not located in, under the control of, or a national or resident of any country or person to which the United States has embargoed goods or services, and that you are not on any US government list of restricted persons.
17. Changes to the Services or these Terms
We may modify the Services at any time. We may also revise these Terms; the effective date above tracks the most recent version. Material changes will be announced to dispatch subscribers and members; non-material changes will be posted here. Continued use of the Services after the effective date constitutes acceptance.
18. Termination
You may terminate your use of the Services at any time. We may suspend or terminate your access for material breach of these Terms, fraud, illegality, or risk to the integrity of the Services. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitations of liability, indemnification, governing law, and dispute resolution) will survive.
19. Miscellaneous
These Terms (together with the Privacy Policy and any order-specific terms presented at checkout) constitute the entire agreement between you and us regarding the Services and supersede all prior agreements. If any provision is held unenforceable, the remaining provisions remain in full force. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our prior written consent; we may assign these Terms to a successor in connection with a merger, acquisition, or sale of assets.
